The Muna Love Affair Participating Vendor Terms

These Terms and Conditions for participation in The Muna Love Affair by Munaluchi LLC (Event) are effective as of the date of completed Vendor Participation Registration, by and between Munaluchi LLC (Organizer) and yourself (Participant).

Participation Guidelines

The Event is an experiential event. All Participant exhibits must meet aesthetic standards of Organizer and follow guidelines of Event venue. Organizer has the right to inspect all exhibits and request modifications when needed.

Exhibits must be completed no later than three hours before the start of Event.

If Participant is part of a Collaborative Exhibit, no more than 4 vendors are allowed to participate.  If Participant purchases any individual exhibit, only Particpant’s marketing materials are allowed and no other vendors are allowed within exhibit. Marketing materials, brochures of any additional vendors that are not Participants in the Event is not permitted.  

In the event that non approved vendors are promoted, or solicited within a Collaborative Exhibit, a fee of $175/vendor will be assessed for exhibitor(s).

Promotions

Bridal publications and media outlets other than Munaluchi Bride are not permitted within Participant Exhibits or within the Event. Organizer has the right to remove any Participant that violates these terms.

Marketing

Participants will be provided with social media creatives to post at their leisure on social media outlets. Creatives will include Participant and Organizer logos and information. Participants are encouraged to post social media creatives using the Event hashtag below:

Giveaways

Participants are not required but encouraged to provide giveaways or incentives to guests.

Cancellations

Termination of this Agreement can be done by either party with written notice. Participant is required to provide written notice no later than 30 days before date of Event without any penalty for remaining balance, if payment plans were made. If Participant terminates agreement within 30 days prior to Event, no refunds will be made of any deposits. Organizer has the right to terminate contract for any Participant at any times if terms in this agreement are not met. All deposits and payments are final and non-refundable or transferable.

Participant shall present exhibit as stated in this Agreement. Participant shall indemnify and hold harmless Munaluchi LLC from any claim, demand, loss, liability, damage or expense arising in any way from the Participant’s performance of services:

1. Not defame, slander or libel any person, firm or corporation.
 2. Present sessions according to Munaluchi LLC Standards of Professionalism and shall not denigrate Munaluchi LLC, its programs or representatives in any manner. 
 3. Agree and state that all materials, decorations presented by Participant do not infringe or violate any copyright, trademark, patent or intellectual property rights of any person or entity, nor do they promote or endorse any product, service, or device which may or is at the time of the program not approved by any governing agency.

 

Force Majeure:

Organizer will not liable for any delay, default or non-performance or damages due to force majeure, including but not limited to strikes, power failures, fire, Acts of God, damage caused by water, floods, earthquakes, computer or communication failure, and failure by third parties to deliver goods or services.

Injuries:

Participant hereby waives any and all rights to recovery from Organizer for any injuries that Participant may sustain while performing services under and pursuant to this Agreement.

Law and venue:

This Agreement shall be governed by and construed in accordance with New Jersey state law. In the event litigation is necessary to enforce this Agreement, venue shall be proper in any court of competent jurisdiction located in Burlington County, New Jersey.

Confidentiality

Confidential information (the “Confidential Information”) refers to any data or information relating to the Organizer whether business or personal, which would reasonably be considered to be private or proprietary to the Organizer or Confidential Information could reasonably be expected to cause harm to the Organizer.

The Participant agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any confidential Information which the Participant has obtained, except as authorized by the Organzer or as required by law. The obligations of confidentiality will apply during the term of this Agreement and will survive indefinitely upon termination of this Agreement.

All written and oral information and material disclosed or provided by the Participant to the Organizer under this Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Participant.

Indemnification

Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the Party, and its respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of the terms of this Agreement.

Severability

In the event that any of the provisions of these terms are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of these terms.

Governing Law

The terms of this agreement shall be governed by, and construed and interpreted in accordance with the laws of the state of New Jersey.
